WHERE’S THE FUNCTION

EVENT ORGANISER & VENUE TERMS

Operated by Wheres The Function Holdings (Pty) Ltd

Effective Date: 23 October 2026
Last Updated: 23 October 2026

Plain-language organiser overview (non-binding)

At referral-only launch, WTF displays and promotes Event information and may link to independent ticketing services. Organisers remain responsible for their Events, lawful permissions, safety, truthful listings and responding to Event problems. External ticket sellers handle their own checkouts, payments, ticket issuance and refund processes, subject to their agreements with organisers and applicable law. WTF does not collect or hold Event Ticket proceeds under these Terms. Any future WTF-operated ticketing and reserves require a separately signed arrangement; Appendix A is currently inactive. If this overview differs from the operative clauses, those clauses and mandatory law govern.

1. PURPOSE AND APPLICATION

These Event Organiser & Venue Terms (“Organiser Terms”) govern the use of Where’s the Function by Event Organisers, Venues, promoters and other Business Users who submit, manage or advertise Events through the Platform, including by linking Consumers to independent third-party ticketing providers. They supplement the Terms of Use, Community Guidelines, Privacy Notice & POPIA Policy and Ticket Purchase, Cancellation & Refund Policy.

These Organiser Terms apply only to services actually offered or agreed to. Listing and promotional functionality does not by itself mean that WTF processes Ticket payments, issues Tickets or contracts as the Event supplier. Event-specific written commercial terms take precedence on commercial matters expressly addressed in them, subject to mandatory law.

2. DEFINITIONS AND INTERPRETATION

“WTF”, “Company”, “we” and “us” mean Wheres The Function Holdings (Pty) Ltd. “Organiser” includes an Event Organiser, Venue or authorised Business User accepting these Organiser Terms. “Consumer” means an attendee or prospective Ticket purchaser. “Event” means a function, party, concert, activation or other advertised experience. “Ticket” means an entitlement to admission, including an electronic credential. “Event Proceeds” means amounts attributable to Ticket transactions that WTF is contractually authorised to collect, less deductions lawfully agreed and disclosed. “Settlement” means payment of amounts properly due to an Organiser. “Reserve” means amounts temporarily retained under an applicable commercial arrangement to address defined risks. “Service Fee” means a separately disclosed WTF charge where applicable.

“Platform” includes the Where’s the Function application, website and related services. References to applicable law include mandatory South African consumer, electronic-commerce, privacy and other relevant laws. Headings aid navigation and do not alter interpretation.

3. ELIGIBILITY AND AUTHORITY

An Organiser must have legal capacity and all authority required to act for the relevant business, Venue or Event. A person accepting these terms on behalf of an entity warrants that they are authorised to bind it.

WTF may request reasonable evidence of identity, registration, authority, banking details (only where relevant to an agreed service), licences and beneficial ownership before granting business access or enabling particular services. WTF may refuse, suspend or delay onboarding or access to a relevant service if reasonably requested verification is not provided, subject to applicable law. Approval for one Event does not guarantee approval for another.

4. BUSINESS ACCOUNTS AND ACCESS

Organisers must keep account and contact information accurate, protect credentials and promptly notify WTF of suspected unauthorised access. They remain responsible for actions taken through authorised personnel and must revoke access when staff or representatives cease to be authorised.

WTF may assign different access permissions and restrict publishing privileges to approved administrators. Organisers must not share credentials in a way that undermines account security.

5. OUR PLATFORM ROLE

At referral-only launch, WTF operates an Event discovery, listing, promotion and referral platform. Where a listing links to Quicket, Ticketmaster or another independent provider, that provider and the relevant seller—not WTF—operate the checkout, receive payment, issue Tickets and administer the transaction under their applicable terms and law. WTF does not collect, hold, reserve or settle Organiser Ticket proceeds in this model.

Organisers remain responsible for the lawful operation and delivery of their Events. Listing an Event does not make WTF its promoter, operator, ticket seller or guarantor unless an expressly agreed arrangement states otherwise. A future direct ticketing service is subject to Section 13 and inactive Appendix A.

6. EVENT APPROVAL AND PUBLICATION

Submitting an Event does not guarantee publication. WTF may review, reject, request changes to, temporarily hide or remove listings for reasonable legal, safety, quality, fraud or policy concerns.

At initial launch, only authorised WTF administrators may approve and publish Event listings. Organisers have no independent right to publish until WTF expressly grants that permission. WTF may require verification before approving changes to important Event details.

7. ACCURACY OF EVENT INFORMATION

Organisers must provide truthful, current and sufficiently complete information about dates, times, location, line-ups, admission requirements, age restrictions, accessibility, capacity, Ticket categories and material limitations.

The Organiser must notify WTF as soon as reasonably practicable after confirming cancellation, postponement, relocation, prohibition by a competent authority, or another material change that renders a listing inaccurate or misleading. Ordinary operational incidents that do not materially affect the listing or Event availability need not be reported to WTF solely under this provision. The Organiser remains responsible for its own Event operations and for notifying affected ticket purchasers through the relevant ticketing provider where required. Material changes must also be communicated to affected Consumers where appropriate. Organisers must not rewrite historical information to obscure representations made at the time of a purchase.

8. EVENT LICENCES AND LEGAL COMPLIANCE

The Organiser is responsible for obtaining and maintaining licences, permits, permissions, insurance and approvals legally required for its Event and Venue, including applicable liquor, safety, public gathering and intellectual-property permissions.

Where an Event involves alcohol sales, the Organiser must enforce applicable age-verification rules and must not sell or supply alcohol to anyone under 18. WTF may request a copy of the relevant liquor licence or other lawful authorisation before approving or continuing to display the Event. WTF may request other supporting evidence, but listing an Event does not certify that all legal requirements have been met. The Organiser must comply with lawful directions of relevant authorities.

9. VENUE RESPONSIBILITIES

The Organiser must secure the right to use the Venue and coordinate with its operator on capacity, access, security, emergency procedures, accessibility and lawful admission policies.

Where the Venue and Organiser are different entities, each remains responsible for its own obligations under applicable law and agreements. The party submitting the listing must have authority to represent the Venue accurately.

10. ARTISTS, SPONSORS AND THIRD-PARTY RIGHTS

Organisers must have appropriate authority to advertise artists, DJs, performers, sponsors, brands and other third parties as participating in an Event. They must not imply an endorsement or confirmed appearance without a reasonable basis.

Material artist or sponsorship changes must be disclosed promptly. Organisers are responsible for obtaining permissions necessary for promotional photographs, videos, recordings, trademarks and music.

11. TICKET INVENTORY AND PRICING AUTHORITY

Where ticketing services are enabled under a written arrangement, the Organiser must supply accurate Ticket categories, inventory, prices, restrictions and capacity information, and must not knowingly oversell or misstate availability.

Ticket pricing, discounts and promotions must comply with law and the applicable commercial agreement. The Organiser may not add undisclosed mandatory charges or misrepresent the identity of the seller or payment recipient.

12. THIRD-PARTY TICKETING AND REFERRALS

When a Consumer leaves WTF to buy a Ticket through a third-party provider, the Organiser must not suggest that WTF processed the payment or controls that provider's refund process unless that is factually and contractually correct.

The Organiser must cooperate in directing Consumers to the appropriate ticket seller or support channel and ensure promotional information does not contradict the provider's lawful terms or consumer rights.

13. DIRECT TICKETING ACTIVATION

Direct Ticketing is not active under these referral-only Organiser Terms. Before any WTF-operated checkout, payment collection, issuance, settlement or refund funding begins, WTF and the Organiser must sign a separate activation agreement identifying the seller/merchant of record, payment-provider model, lawful authority to handle funds, fees, taxes, refund and chargeback responsibilities, customer disclosures and data flows.

The parties must also agree and attach a rate card and settlement/reserve schedule specifying any applicable reserve cap, release triggers, maximum holding period, treatment of interest, account arrangements, reconciliation, disputes and exceptional extensions. Appendix A does not become effective merely because it appears in this document; its activation must be explicit and in writing. Neither this section nor Appendix A represents that WTF currently holds Ticket funds.

14. FEES AND COMMERCIAL SCHEDULES

WTF will offer standard Event listings free of charge during its introductory launch period beginning 23 October 2026. No Organiser is obliged to pay WTF a listing fee for a listing offered free of charge during that period. WTF intends to introduce paid listing and promotional packages in 2027, but the precise commencement date, prices and package conditions have not yet been determined.

WTF may introduce fees for future listings, featured placements, advertising, subscriptions or other promotional services by communicating the applicable rate card, order form or commercial terms before the Organiser purchases the service. The Organiser must be informed of the amount or calculation method, tax treatment, payment deadline, duration, cancellation conditions and material placement terms, and must agree to the charge before it becomes payable. No fee will be imposed retrospectively for a listing or promotional service previously supplied free of charge. Changes to pricing will not retrospectively alter an agreed paid order.

WTF may extend or modify the introductory free-listing period by notice. An existing free listing will not become a paid listing automatically; continued or renewed paid services require the Organiser's agreement to the applicable terms.

Third-party ticketing fees and Ticket payments are set by the relevant provider and seller, not automatically by WTF. Direct Ticketing fees require a separately signed activation agreement under Section 13. No undisclosed fee may be imposed retroactively.

15. PAYMENT INFORMATION AND RECONCILIATION

Under the referral-only model, WTF does not receive, reconcile or pay out Ticket proceeds. Organisers must address Ticket payment and settlement enquiries to their contracted ticketing provider, subject to applicable law. WTF may request evidence necessary to verify the accuracy of listings, paid promotion invoices or complaints.

Any future WTF payment reconciliation obligations arise only after the separate activation agreement in Section 13 is signed.

16. SETTLEMENT PRINCIPLES

There is no WTF Ticket settlement or Reserve under the referral-only model. External ticketing providers' settlement and refund arrangements remain governed by their own agreements and applicable law.

If WTF later activates Direct Ticketing, settlement must be governed by a signed commercial schedule and the expressly activated Appendix A. No organiser payout may be withheld under Appendix A before that activation.

FUTURE DIRECT TICKETING — INACTIVE AT REFERRAL-ONLY LAUNCH

Numbering note: Sections 17–20 are intentionally omitted from the active clauses below and appear only in Appendix A under their original, legacy numbering. They are not missing provisions.

Sections 17–20 are reserved for the Future Direct Ticketing & Settlement Schedule in Appendix A. They are not operative while WTF only lists Events and refers Consumers to external ticket sellers. No authority to collect, hold, reserve, settle or refund Ticket proceeds arises from these Organiser Terms alone. The appendix can only become operative through a separate signed activation agreement and completed commercial, payment, compliance and consumer-disclosure arrangements.

21. CHARGEBACKS AND PAYMENT DISPUTES

Where WTF handles a transaction under an agreed arrangement, the parties will cooperate to investigate chargebacks, payment reversals and disputes. The Organiser must promptly provide relevant Event and admission evidence where reasonably requested.

Responsibility for disputed amounts, processor fees and recoveries will follow the applicable commercial schedule and law; a chargeback is not conclusive proof of fraud by a Consumer.

22. EVENT CANCELLATION

The Organiser must notify WTF as soon as reasonably practicable after confirming that an Event is cancelled, and provide accurate reasons, affected Ticket categories and consumer communication details available to it. The Organiser must promptly notify affected Ticket purchasers through the responsible ticketing provider or another appropriate lawful channel and coordinate any refund process with that provider. A notice or listing update on WTF does not replace the Organiser’s purchaser-notification duties. The Organiser must not continue promoting or selling Tickets for a cancelled Event.

Where Consumers are entitled to refunds, the Organiser must cooperate promptly with the responsible ticket seller or payment provider. The allocation of costs between WTF and the Organiser must not be used to obstruct a lawful consumer remedy.

23. POSTPONEMENTS AND RESCHEDULING

The Organiser must notify WTF as soon as reasonably practicable after confirming a postponement and promptly communicate proposed replacement dates, Ticket validity and available remedies to affected purchasers through the responsible ticketing provider or another appropriate lawful channel. A postponed Event must not be described as unchanged when its date or material features differ.

Any refund, transfer or credit option must comply with applicable law. No blanket postponement period or compulsory credit may override a Consumer's statutory rights.

24. MATERIAL EVENT CHANGES

Material changes to Venue, headline performers, date, experience, duration or other features represented to Consumers must be reported to WTF as soon as reasonably practicable after confirmation. WTF may require corrected listings and appropriate communications, and may suspend or remove an inaccurate listing. The Organiser remains responsible for communicating with affected ticket purchasers through the relevant ticketing provider or other lawful channel; a WTF listing update does not replace that obligation.

The Organiser must cooperate with assessment of cancellation or refund rights arising from material changes, having regard to representations at the time of purchase and applicable law.

25. EVENT ABANDONMENT AND NON-PERFORMANCE

If an Event starts but is abandoned or materially fails to deliver the advertised experience, the Organiser must promptly provide an accurate incident report and cooperate in determining appropriate remedies.

No automatic rule that all Tickets become non-refundable once entry has occurred will displace mandatory consumer rights.

26. CONSUMER COMPLAINTS AND SUPPORT

The Organiser must maintain a functioning contact route for Event enquiries and respond reasonably promptly to complaints referred by WTF. It must provide factual information necessary to assess a disputed listing, admission issue or refund request.

The responsible ticketing provider's support route must be made clear where purchases occur externally.

27. REFUNDS AND CONSUMER RIGHTS

For Tickets bought on external ticketing platforms, the responsible ticket seller/provider handles payment refunds through its applicable processes, subject to mandatory consumer law. WTF will make reasonable efforts to direct Consumers to the correct support channel and correct materially inaccurate WTF listings. The Organiser must cooperate with the ticket seller and must not impose a blanket “no refunds” rule inconsistent with mandatory rights.

WTF does not fund, deduct or settle external-platform Ticket refunds under the referral-only model. Any future internal allocation of refund funding or WTF Service Fees requires the separate activation agreement in Section 13 and Appendix A; it must never delay a consumer remedy legally due.

28. TICKET VALIDITY, ENTRY AND REDEMPTION

Organisers must honour valid Tickets subject to lawful, previously disclosed entry conditions. They must use reasonable measures to prevent duplicate redemption and must not knowingly invalidate legitimate Tickets to evade obligations.

Admission decisions remain subject to applicable law, including non-discrimination and consumer protections.

29. AGE RESTRICTIONS AND ALCOHOL

The Organiser must accurately disclose lawful age restrictions, check ages where required, ensure that alcohol is not sold or supplied to persons under 18, and ensure its own admission and liquor practices comply with applicable requirements. A listing on WTF does not verify a liquor licence.

Organisers must not use the Platform to encourage underage drinking or advertise unlawful alcohol sales.

30. SECURITY, SAFETY AND CROWD MANAGEMENT

The Organiser and Venue remain responsible for reasonable Event safety planning, staffing, crowd management, emergency access and compliance with lawful capacity restrictions.

WTF's provision of an Event listing or promotion does not make WTF the operator of the physical Event.

31. ACCESSIBILITY AND ADMISSION CONDITIONS

Material accessibility features and restrictions must be described accurately. Organisers must not knowingly publish misleading claims about accessible facilities.

Dress codes, prohibited items, identification requirements and re-entry rules must be lawful and appropriately disclosed where material to the purchasing decision.

32. ADVERTISING AND PROMOTIONAL CONTENT

Organisers must ensure their promotional content is truthful, lawful and supported by necessary rights. Paid placement must not be represented as independent endorsement or guaranteed attendance.

WTF may label sponsored placements and may remove misleading or prohibited advertising.

33. INTELLECTUAL PROPERTY OWNERSHIP

Each party retains its pre-existing intellectual property. The Organiser warrants that it owns or has permission to provide material submitted for an Event listing.

Nothing in these Organiser Terms transfers ownership of an Organiser's logos, artwork or Event materials to WTF.

34. LICENCE TO DISPLAY EVENT MATERIAL

The Organiser grants WTF a non-exclusive, royalty-free licence for the period that the Event listing or agreed promotion is active to host, reproduce, format, display and distribute submitted Event materials only as reasonably necessary to operate the listing and agreed promotion. WTF may retain copies afterward where lawfully required for records, disputes, security or compliance, but retention does not itself authorise continued public promotional use.

New advertising campaigns, portfolio or case-study publication, unrelated endorsement campaigns, or other promotional reuse after the agreed period require appropriate additional permission and rights clearance where applicable.

35. ARTIST IMAGE AND PERFORMANCE RIGHTS

The Organiser must not assume that a performance booking automatically authorises every advertising, image, likeness, music or recording use. It must obtain the permissions needed for the material it supplies.

WTF may remove material following a credible rights complaint while investigating the issue.

36. USER CONTENT AND REVIEWS

Where Users may post reviews or other content, the Organiser must not manipulate ratings, fabricate endorsements, threaten reviewers or use false reports to suppress legitimate criticism.

WTF may moderate User Content under the Community Guidelines and applicable law.

37. PERSONAL INFORMATION AND POPIA

Each party must comply with POPIA for personal information it processes. In the referral-only model, WTF and an Organiser may each be an independent Responsible Party for their own purposes and decisions; an Organiser is not automatically WTF's Operator merely because it receives information. An Organiser using lawfully obtained attendee information for its own marketing acts as a separate Responsible Party and must establish its own lawful basis, notices and opt-out/consent controls.

If one party processes personal information only on the other's instructions, the parties must enter into an appropriate written operator/data-processing agreement before that processing begins. Roles and duties must reflect actual data flows, not labels alone.

38. DATA SHARING AND ACCESS CONTROLS

WTF does not promise to provide attendee lists obtained by independent ticketing providers. Any personal information shared with an Organiser must have a defined lawful purpose, appropriate transparency, minimum necessary fields, restricted access, retention/deletion rules and security safeguards.

Before new direct attendee-data sharing or instructed processing starts, the parties must document their respective Responsible Party/Operator roles and, where required, execute a data-sharing or operator agreement covering instructions, security, subprocessors, incidents, data-subject requests and return/deletion.

39. DIRECT MARKETING

Organisers are responsible for ensuring that their own marketing communications comply with applicable privacy, electronic communications and consumer law. Access to a Ticket purchaser's details does not automatically grant permission for unrelated promotional messages.

Where consent or an opt-out is required, the Organiser must maintain suitable records and honour lawful requests.

40. INFORMATION SECURITY AND INCIDENTS

Organisers must apply appropriate technical and organisational security safeguards. Where an Organiser becomes aware of a suspected or confirmed compromise affecting personal information shared with WTF or Platform credentials, it must notify WTF without undue delay, using the designated security or legal contact channel, and provide available details needed to contain and assess the incident. The parties adopt an internal target of no later than 72 hours after awareness for an initial notification, but must notify earlier where the circumstances require urgent containment, coordination or statutory action. Missing details must not delay the initial notice; further information should follow as it becomes available. This is a contractual coordination target, not a universal POPIA statutory reporting deadline.

Each Responsible Party remains responsible for any notification to the Information Regulator and affected data subjects required under POPIA, as soon as reasonably possible where the statutory conditions are met, taking account of lawful delay exceptions.

41. CONFIDENTIAL INFORMATION

Each party must protect non-public commercial, technical and financial information disclosed in confidence and use it only for the relevant business relationship, except where disclosure is authorised or required by law.

This obligation does not cover information already lawfully public, independently developed or lawfully received without a confidentiality restriction, or information that must be disclosed by law or competent authority. Any compelled disclosure should be limited to what is legally required.

42. RECORDS AND AUDIT COOPERATION

Organisers must keep reasonably accurate Event, Ticket, licensing, cancellation and refund records relevant to their obligations for periods required by law or agreement.

WTF may request proportionate supporting records where reasonably necessary to investigate credible fraud or misuse of its Platform, verify a disputed listing, reconcile services actually agreed, or comply with legal duties, subject to confidentiality and privacy safeguards. WTF does not undertake to investigate every incident at a physical Event.

43. FRAUD PREVENTION AND VERIFICATION

WTF may perform reasonable checks for fraudulent Events, false identities, suspicious Ticket activity or unauthorised account use. Organisers must cooperate with legitimate verification requests.

Temporary restrictions should be proportionate to the identified risk and do not automatically establish wrongdoing.

44. PROHIBITED ORGANISER CONDUCT

Organisers must not submit fake Events, falsify line-ups or sponsorships, manipulate Ticket inventory, engage in unlawful discrimination, infringe rights, misuse personal information, facilitate illegal sales or interfere with Platform security.

The Community Guidelines apply in addition to this section.

45. MODERATION AND LISTING REMOVAL

WTF may correct, hide or remove listings and promotional material where reasonably necessary for legal compliance, credible fraud concerns, safety, infringement, material inaccuracy or material policy breaches. WTF does not thereby assume responsibility for physically operating the Event.

Where reasonably practicable, WTF will provide reasons and an opportunity to respond. It may act immediately on credible fraud, unlawful activity or serious safety concerns, without having to establish a criminal offence before removing a listing.

46. SUSPENSION OF BUSINESS SERVICES

WTF may temporarily restrict Organiser access, listing publication, promotions or agreed payment functionality for a material breach or credible legal, financial or security risk.

Any hold on funds must have a lawful contractual basis and be proportionate to relevant liabilities; it must not operate as an arbitrary penalty.

47. TERM AND TERMINATION

These Organiser Terms apply while the Organiser uses relevant Platform services or remains bound by an applicable agreement. An Organiser may stop using WTF and request business account closure, subject to outstanding contractual obligations. Paid promotional arrangements remain governed by their agreed termination and cancellation provisions; neither party is indefinitely locked into an arrangement without an agreed basis.

WTF may terminate access for serious or repeated violations, fraud or unlawful activity, subject to applicable law.

48. EFFECT OF TERMINATION

Termination does not extinguish accrued payment obligations, valid consumer claims, lawful refunds, chargebacks, confidentiality duties or rights intended to survive.

The parties must cooperate reasonably in handling outstanding Events and communicating material changes to affected Consumers. WTF may remove or mark a listing as inactive following account closure, but doing so does not cancel the underlying Event or Tickets purchased through an external provider. Personal information will be retained or deleted according to applicable law and the relevant privacy notices.

49. NO GUARANTEED SALES OR ATTENDANCE

WTF does not guarantee Event attendance, Ticket sales, advertising performance, ranking, impressions or commercial success unless an expressly agreed written service commitment provides otherwise.

Any estimates or forecasts are not guarantees.

50. SERVICE AVAILABILITY

WTF may maintain, update or temporarily interrupt the Platform. It will use reasonable efforts appropriate to the agreed service but does not warrant uninterrupted availability in every circumstance.

Specific service levels, if any, must be recorded in a separate written agreement.

51. THIRD-PARTY SERVICES

Third-party ticketing, payment, transport, accommodation, analytics or advertising services may be governed by separate provider terms. WTF is not automatically responsible for those providers' independent services.

The Organiser must not misrepresent a provider relationship or claim an unauthorised partnership.

52. TAXES AND INVOICING

Each party is responsible for its own tax obligations under applicable law. The agreed commercial structure must identify who invoices Consumers, who invoices the Organiser, and the treatment of VAT and fees where applicable.

Organisers must provide accurate tax and billing details when required.

53. INSURANCE

Organisers are responsible for assessing and obtaining insurance required by law, Venue arrangements or proportionate Event risk, including public-liability cover where appropriate. WTF does not require identical insurance coverage for every Event regardless of size or risk.

WTF may request evidence of relevant insurance for higher-risk Events or agreed commercial services, where proportionate and communicated to the Organiser.

54. INDEMNITY

To the extent permitted by law, an Organiser must indemnify WTF against third-party claims and reasonably incurred, evidenced losses to the extent attributable to the Organiser's unlawful conduct, material breach, infringement or negligent Event operation, except to the extent caused or contributed to by WTF's own wrongful conduct. This is not an unlimited indemnity for all claims connected with a listed Event.

This section does not waive mandatory consumer rights or excuse WTF from liability it cannot lawfully exclude.

55. LIMITATION OF LIABILITY

Neither party excludes liability where exclusion is prohibited by law. Any negotiated liability cap or exclusion of indirect loss must be reasonable, clearly disclosed where required, and recorded in the applicable commercial agreement.

No limitation may be used to deprive Consumers of mandatory remedies or excuse fraud or other liability that cannot lawfully be limited.

56. FORCE MAJEURE

A party affected by an event genuinely beyond its reasonable control must notify the other promptly and take reasonable steps to mitigate its effects.

Force majeure does not automatically remove statutory refund rights or all accrued payment obligations. Event-specific remedies depend on the facts and applicable law.

57. RELATED-PARTY ORGANISERS

Where’s the Function may permit companies, organisations or individuals affiliated with Wheres The Function Holdings (Pty) Ltd to list, advertise or promote Events through the Platform.

Such Organisers remain separate contracting parties where they are legally distinct entities and are subject to the same applicable Event Organiser & Venue Terms as other Organisers, unless a separate lawful written agreement provides otherwise.

An affiliation with Where’s the Function does not automatically exempt an Organiser from its contractual, operational, financial or legal responsibilities.

Where an affiliation, sponsorship or promotional arrangement requires disclosure under applicable law, Where’s the Function will provide an appropriate disclosure. Any paid or preferential placement must not be misleadingly presented as independent or neutral placement.

58. INDEPENDENT CONTRACTORS

Unless a separate written agreement expressly provides otherwise, the parties act as independent contracting entities. These Organiser Terms do not create employment, partnership or a general agency relationship.

Any authority for WTF to act as Ticket agent or collect money on behalf of an Organiser must be expressly agreed.

59. NOTICES AND COMMUNICATIONS

Business notices may be sent to the contact details recorded for the relevant Organiser, subject to any mandatory form or delivery requirement under law or the commercial agreement.

Organisers must keep those details current and promptly acknowledge urgent Event safety, cancellation or refund communications.

60. COMPLAINTS AND DISPUTE ESCALATION

The parties should first attempt in good faith to resolve ordinary commercial disputes through their designated representatives, where practicable. This informal process does not prevent either party from seeking urgent relief from a competent court or taking urgent consumer-protection, safety or fraud-prevention action. Any further formal dispute mechanism must be set out in an applicable written agreement and remains subject to mandatory law.

61. GOVERNING LAW

These Organiser Terms are governed by the laws of the Republic of South Africa, subject to applicable mandatory rules.

Nothing prevents a Consumer or party from approaching a regulator, tribunal or court where legally entitled.

62. CHANGES TO ORGANISER TERMS

WTF will give Organisers at least 14 calendar days' notice of material changes to these Organiser Terms by the recorded business email or organiser dashboard before the changes take effect, unless a shorter period is reasonably required by law, urgent safety/security concerns or prevention of fraud. Where a change requires agreement under an existing signed commercial contract, notice alone will not replace that agreement.

Changes will not retrospectively remove accrued consumer rights. The published terms will show the effective and last-updated dates.

63. SEVERABILITY AND NO WAIVER

If a provision is unenforceable, the remaining provisions continue to operate to the extent legally possible. A delay or failure to enforce a right does not automatically waive it.

Any waiver of a material contractual right should be confirmed in writing by an authorised representative.

64. ORDER OF PRECEDENCE

Mandatory law prevails over inconsistent contractual provisions. For consumer-facing refunds, applicable law and the Ticket Purchase, Cancellation & Refund Policy apply as appropriate to WTF's actual role.

A signed Event-specific commercial schedule prevails over these general Organiser Terms only for matters it expressly addresses between the parties, without reducing mandatory Consumer protections.

65. RELATED POLICIES AND COMMERCIAL DOCUMENTS

These Organiser Terms should be read with the Terms of Use, Privacy Notice & POPIA Policy, Community Guidelines, Cookie & Tracking Technologies Policy and Ticket Purchase, Cancellation & Refund Policy, as applicable.

Additional agreements may include a rate card, Event-specific order, data-sharing or operator agreement and, only for activated Direct Ticketing, a payment mandate and signed settlement/reserve schedule. Appendix A is inactive until expressly activated under Section 13.

APPENDIX A — FUTURE DIRECT TICKETING & SETTLEMENT SCHEDULE (INACTIVE)

Status: NOT ACTIVE for referral-only launch. The following legacy-numbered Sections 17–20 are reproduced verbatim from the supplied amendments for future consideration. They impose no current Ticket payment, settlement, Reserve or refund-funding duties under the referral-only model. Activation requires the separate signed agreement and schedules described in Section 13, plus legal/payment-provider review. Until then, any apparent operative language below is conditional and inoperative.

17. SETTLEMENT SCHEDULE

The standard Settlement schedule will be determined before commercial launch and communicated to Organisers.

WTF may structure Settlement by reference to:

WTF is not required to pay all Ticket proceeds to an Organiser immediately after each Ticket sale where delayed Settlement or a Reserve is reasonably necessary to protect Consumers, WTF or payment systems.

Cancellation Refund Priority

Where an Event is cancelled and consumer refunds become payable, WTF may suspend any ordinary Settlement associated with the affected Event and apply available Event Proceeds, Reserves and other amounts lawfully available for that purpose to approved consumer refunds without waiting for the ordinary Settlement date, Event-completion trigger or post-Event Reserve release date.

The ordinary Settlement schedule must not be relied upon between WTF and the Organiser as a reason to delay a consumer refund that is otherwise due.

Where available Event Proceeds or Reserves are insufficient to meet refund liabilities allocated to the Organiser, the Organiser remains responsible for any amount properly recoverable from it under these Organiser Terms and the applicable commercial arrangement.

18. RESERVES

WTF may establish a reasonable Reserve where necessary to address anticipated:

The Reserve may vary based on factors including:

WTF will not use Reserves arbitrarily as a means of permanently withholding money properly due to an Organiser.

19. EVENT COMPLETION HOLD

Where commercially adopted, WTF may retain a specified portion of Event Proceeds until the Event has occurred and a reasonable post-Event period has passed.

The final percentage and release period will be established in the Settlement Schedule or applicable commercial terms.

This mechanism may be used to preserve funds for:

20. REFUND FUNDING

Where a Consumer is entitled to a refund arising from an Event Organiser's cancellation, failure, breach or other responsibility, the Organiser is financially responsible to WTF for the portion of the refund or related liability allocated to the Organiser under the applicable commercial structure.

WTF may fund the Consumer-facing refund first where appropriate and subsequently recover the Organiser's allocated share of that liability.

WTF may recover properly allocated refund amounts from:

The Organiser's obligation to fund a valid amount allocated to it is not extinguished merely because Event Proceeds were previously settled.

Service Fee Allocation

Where WTF refunds to a Consumer a Service Fee charged by WTF, the fact that the Service Fee was refunded does not automatically make the Organiser responsible for reimbursing WTF for that fee.

Responsibility for a refunded Service Fee will be determined by the applicable:

between WTF and the Organiser.

That allocation may take into account:

Where an applicable written agreement expressly provides that an Organiser-caused cancellation, Event failure, material breach or other specified circumstance makes the Organiser responsible for particular WTF fees or costs, WTF may recover those amounts only to the extent permitted by applicable law and the applicable agreement.

Nothing in this section reduces the amount that must be refunded to a Consumer under the Ticket Purchase, Cancellation & Refund Policy or applicable law.

The financial allocation of a refund between WTF and the Organiser is a matter between those parties and must not be used to delay a consumer remedy that is otherwise due.
